Terms of Service
Last updated: November 4, 2026
These Terms of Service (the "Terms") are an agreement between you and Visivo LLC, 66 Prescott Drive, Hudson, Ohio 44236, United States ("Visivo", "we", "us" or "our"). They govern your access to and use of the visivo.io website and Visivo Cloud at app.visivo.io (together, the "Services").
If you use the Services on behalf of a company or other organization, you agree to these Terms for that organization and confirm that you have the authority to do so. In that case, "you" means that organization. If you do not agree to these Terms, do not use the Services.
Our Privacy Policy explains how we handle personal data. When we process personal data on your behalf in Visivo Cloud, our Data Processing Agreement applies and forms part of these Terms.
1. Definitions
- Account means the account you create to use Visivo Cloud.
- Workspace means the account-level space in Visivo Cloud that holds your projects, sources, members and billing.
- Customer Data means the data you or your members submit to Visivo Cloud or that Visivo Cloud reads from your data sources on your instruction. This includes project configuration, query results, source connection details and agent conversations.
- Credit means the prepaid balance in your Workspace that usage-based features draw on.
- Open-Source Software means the Visivo command-line tool and other software that we publish under an open-source license.
2. Open-source software
The Visivo command-line tool is licensed under the GNU General Public License, version 3 (GPL-3.0). Your use, copying, modification and distribution of the Open-Source Software are governed by that license, not by these Terms. Nothing in these Terms limits the rights that the GPL-3.0 grants you. These Terms apply when you use the website or Visivo Cloud, including when you use the command-line tool to sign in to or deploy to Visivo Cloud.
3. Accounts
- You must give accurate information when you create an Account and keep it current.
- You must be at least 18 years old, or the age of legal majority where you live, to create an Account.
- You are responsible for your credentials, API keys and access tokens, and for all activity under your Account. Tell us promptly at info@visivo.io if you think that someone has used your Account without permission.
- Workspace administrators control who is a member of the Workspace and what each member can do. You are responsible for the actions of the members you invite.
4. Plans, credit and billing
4.1 Plans
Visivo Cloud is offered on the plans described on our pricing page. At the date above these are:
- Free: no payment card is required and the plan does not expire. New Workspaces receive a starting Credit, in the amount shown on the pricing page.
- Platform: a flat subscription fee per Workspace, billed monthly or annually, with no per-member charge. Usage is billed separately from the subscription.
- Enterprise: offered under a separate order form. If an order form conflicts with these Terms, the order form controls.
4.2 Credit and usage
Some features draw on Credit, for example conversations with the AI agent and builds that refresh your data. You can buy more Credit at any time in the increments shown in the product. When your Credit runs out, the features that draw on it stop until you add Credit. Content that you already built stays available. If you turn on automatic refill, you authorize us to charge your payment method for the refill amount you choose each time your balance reaches the threshold you set.
Starting and promotional Credit has no cash value, cannot be transferred and may be changed or withdrawn for new Workspaces at any time.
4.3 Payment
Payments are processed by Stripe. We do not store full payment card numbers. By giving a payment method, you authorize us and Stripe to charge it for the subscription fees and the Credit you buy. Fees are charged in advance for each billing period and, unless a law requires otherwise, are not refundable. Fees do not include taxes. You are responsible for all applicable taxes other than taxes on our income.
4.4 Changes and renewal
Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time, and the cancellation takes effect at the end of the current period. We may change our prices. We will give you at least 30 days' notice before a price change affects your subscription. If we cannot charge your payment method, we may suspend paid features until payment is made.
5. Your data
You own your Customer Data. You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data only as necessary to provide, secure and support the Services for you, and as you instruct through the Services.
- You are responsible for having the rights and permissions you need to connect your data sources and to process the data in them with the Services.
- Source credentials that you store in Visivo Cloud are kept as write-only secrets in Google Cloud Secret Manager. They are not stored in our application database, and the Services do not show them again after you save them. They are given to the job that runs your project only when that job needs them.
- We do not sell Customer Data. We do not use Customer Data to train generative AI models.
- You can export your project configuration at any time with the Visivo command-line tool or a linked Git repository.
We may collect usage and diagnostic data about how the Services perform and are used, and use it to operate, secure and improve the Services, as described in our Privacy Policy.
6. AI features
Visivo Cloud includes an AI agent that can read your project and, on your instruction, query your sources and propose or make changes. To answer a request, we send the request and the relevant context, such as schemas, project configuration and query results, to our AI model provider. At the date above this provider is Google (Gemini models served through Google Cloud Vertex AI).
- AI output can be wrong or incomplete. Review it before you rely on it or publish it. You are responsible for how you use the output.
- If you use your own AI provider key, requests made with that key go to that provider under your agreement with it, and that provider is not our sub-processor.
7. Acceptable use
You must not, and must not let others:
- use the Services to break any law or to infringe or misappropriate the rights of others;
- upload or process data that you do not have the right to process, or special categories of personal data without a lawful basis;
- try to get unauthorized access to the Services, other accounts or the systems behind them, or probe, scan or test their vulnerability without our written permission;
- interfere with or overload the Services, or use them to mine cryptocurrency or to send spam or malware;
- get around usage limits, Credit metering or billing;
- resell or sublicense Visivo Cloud, except as an order form allows.
8. Third-party services
The Services work with third-party products that you choose to connect, for example your databases and data warehouses, GitHub and Google sign-in. Your use of those products is governed by your agreements with their providers. We are not responsible for third-party products, and we may stop supporting an integration if the provider changes or ends it.
9. Our intellectual property and feedback
Except for the Open-Source Software and your Customer Data, we and our licensors own the Services and all rights in them. These Terms do not give you any rights in our names, logos or trademarks. If you send us feedback or suggestions, we may use them without any obligation to you.
10. Suspension and termination
You can stop using the Services and delete your Account at any time. We may suspend or end your access if you materially breach these Terms, if you do not pay fees when due, or if your use creates a security or legal risk to us or to others. Where it is reasonable, we will give you notice first and a chance to fix the problem.
After termination, you can no longer use Visivo Cloud. We delete Customer Data in line with our Data Processing Agreement and our normal retention practices. Sections that by their nature should survive termination do so, including sections 4 (for fees owed), 5, 9, 11, 12, 13 and 14.
11. Disclaimers
The Services are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Services will be uninterrupted or error-free, or that query results, dashboards or AI output will be accurate. Unless an order form says otherwise, there is no service level agreement.
12. Limitation of liability
To the extent the law allows, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if it was told that they were possible. Our total liability arising out of or relating to these Terms or the Services is limited to the greater of (a) the amounts you paid us for the Services in the 12 months before the event that gave rise to the claim, and (b) US $100.
13. Indemnification
You will defend and indemnify Visivo against third-party claims that arise from your Customer Data, your use of the Services in breach of these Terms, or your breach of law, and pay the resulting damages, costs and reasonable attorneys' fees.
14. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of laws rules. The state and federal courts located in Ohio have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to that jurisdiction.
15. Changes to these Terms
We may update these Terms. We will post the new version on this page and update the date above. If a change is material, we will give you notice by email or in the product at least 30 days before it takes effect. If you continue to use the Services after a change takes effect, you accept the updated Terms.
16. General
- These Terms, with the Data Processing Agreement and any order form, are the entire agreement between you and us about the Services.
- If a provision is unenforceable, the rest of these Terms stays in effect.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Neither party is liable for delays caused by events beyond its reasonable control.
